Company secretarial work is the paperwork nobody notices until it is wrong. A share transfer never written into the register. A director who resigned two years ago still listed. A February deadline that slid past while everyone was busy. None of it is difficult; all of it is the sort of thing that surfaces at the worst moment, usually when a bank, a buyer or a lawyer asks to see the records.
The registers we keep current
Jersey companies must maintain accurate statutory records that can be inspected. We keep them updated as things actually change, rather than reconstructing a year's worth of history each February.
| Record | What goes in it |
|---|---|
| Register of members | Who owns the shares, and every change of holding with its date. |
| Register of directors | Current and former directors, with appointment and resignation dates. |
| Register of secretaries | Where the company has appointed one. |
| Register of charges | Security granted over company assets. |
| Minutes and resolutions | Board and shareholder decisions, kept as a permanent record. |
The Annual Confirmation
The Annual Confirmation is the yearly filing to the JFSC Companies Registry confirming your company's details, submitted with the annual fee. It falls due at the end of February. We prepare it from records that are already up to date, send it to you to approve, and make sure it is submitted rather than sitting in a draft folder.
Late filing attracts fees that increase the longer it stays outstanding, and a company left long enough can eventually be struck off. The current fee scale and deadline are published by the JFSC — check jerseyfsc.org rather than relying on last year's figure.
What the year actually looks like
Most of the work is small and spread out. The February filing is the only fixed cliff.
| When | What needs doing |
|---|---|
| As it happens | Share transfers, director changes and address changes written into the registers |
| After each board decision | Minutes or written resolutions drafted and filed |
| January | Details checked against the register, discrepancies chased |
| End of February | Annual Confirmation filed with the annual fee |
| Year-end | Registers reconciled against the accounts before they are finalised |
What we do not do
Worth being direct about this, because several firms bundle it all together and the distinction matters. In Jersey, acting as a registered office, providing nominee shareholders or directors, forming companies for clients and general trust and company administration are regulated activities requiring a JFSC licence.
We are a bookkeeping practice and do not hold that licence. If you need those services we will say so and work alongside the licensed provider you appoint, keeping the records and the filing preparation on our side. Clean underlying records make their job cheaper too.
Who this suits
- Owner-managed Jersey companies where the director is currently doing this themselves, badly, at 11pm in February.
- Companies whose registers have drifted out of date after a share transfer or a change of directors.
- Businesses already using us for monthly bookkeeping who would rather have one place responsible for the records.
How we pick it up
We start by reading what exists: current registers, last filed confirmation, any share transfers or officer changes that never made it in. That review tells us whether this is upkeep or a tidy-up first. You get a fixed fee for whichever it turns out to be, agreed before we start, and after that it runs quietly in the background.
Common questions
Does every Jersey company need a company secretary?
Jersey company law requires statutory registers to be kept and an Annual Confirmation filed. Whether you formally appoint a secretary or not, the work still has to be done. Check your articles and the current requirement on jerseyfsc.org.
When is the Annual Confirmation due?
End of February each year, with the annual fee, to the JFSC Companies Registry. Confirm the current date and fee on jerseyfsc.org.
Do you provide a registered office or form companies?
No — those are JFSC-regulated activities needing a licence we do not hold. We handle records and filing preparation and work alongside your licensed provider.
Our registers are years out of date. Is that a problem?
It is fixable. We reconstruct the history from share transfers, resolutions and filings, then bring the registers current before the next confirmation. Better found now than during a sale or a bank review.
